PHARMAPOD’S ACCEPTABLE USE POLICY

This Acceptable Use Policy (this “Policy”) describes prohibited uses of the web services and online software applications offered by Pharmapod Limited (“Pharmapod”) and its affiliates (the “Service”), and the website located at www.pharmapodhq.com or any other website offered by Pharmapod from time to time (the “Site”). The examples described in this Policy are not exhaustive. We reserve the right to modify this Policy at any time without notice by posting a revised version on the Site. By using the Service or accessing the Site, you agree to the latest version of this Policy. If we believe that unauthorized or improper use is being made of the Service or Site, we may, without notice and at our sole discretion, take such action as we deem appropriate, including blocking messages from a particular internet domain, mail server or IP address and terminating your account. Your use of any Service or access of the Site is subject to and governed by the Pharmapod Terms of Service.

1. No Illegal, Harmful, Offensive, or High-Risk Use or Content

1.1 You shall not use, or encourage, promote, facilitate or instruct others to use, the Service or Site for any illegal, harmful, fraudulent, infringing or offensive use, or to transmit, store, display, distribute or otherwise make available content that is illegal, harmful, fraudulent, infringing or offensive. Prohibited activities or content include without limitation:

(a) Any activities that are illegal, that violate the rights of others, or that may be harmful to others, our operations or reputation.

(b) Infringing or misappropriating content or any of the intellectual property or proprietary rights of others, including without limitation trademarks and copyrights.

(c) Uploading and distributing unlicensed licensed software.

(d) Accessing or authorizing anyone to access the Service from an embargoed country.

(e) Content that is defamatory, obscene, threatening, abusive, degrading, intimidating, invasive of privacy, or otherwise objectionable.

(f) Invading anyone’s privacy by attempting to harvest, collect, store, or publish private or personally identifiable information, such as passwords, account information, credit card numbers, addresses, or other contact information without their knowledge and consent.

(g) Intending to harm or exploit minors in any way.

(h) Content or other computer technology that may damage, interfere with, surreptitiously intercept, or expropriate any system, program, or data, including viruses, Trojan horses, worms, time bombs, or cancelbots.

1.2 You acknowledge and agree that the Service and the Site are to be used solely for your internal error reporting and tracking relating to pharmacy operations and/or facilitating patient appointments (the “Intended Use”). Without limiting the foregoing, the Site and Service are not intended for use as an electronic medical record system, for prescription tracking, or for facilitating any kind of medical recommendation. You shall not use, or encourage, promote, facilitate or instruct others to use, the Service or Site in any manner other than the Intended Use.

2. NO Security Violations

2.1 You may not use the Service to violate the security or integrity of any network, computer or communications system, software application, or network or computing device (each, a “System”). Prohibited activities include without limitation:

(a) Accessing or using any System without permission, including attempting to probe, scan, or test the vulnerability of a System or to breach any security or authentication measures used by a System.

(b) Acting to deny others access to a Service, or authorizing any third party to access or use the Service on your behalf (such as anyone without a license or revealing to anyone your username and password).

(c) Using any automated process or service to access or use the Service such as a BOT, a spider or periodic caching of information stored by Pharmapod.

(d) Monitoring of data or traffic on a System without permission.

(e) Forging packet headers, e-mail headers, or any part of a message describing its origin or route.

3. NO Network Abuse

3.1 You may not make network connections to any users, hosts, or networks unless you have permission to communicate with them. Prohibited activities include without limitation:

(a) Monitoring or crawling of a System that impairs or disrupts the System being monitored or crawled.

(b) Inundating a target with communications requests so the target either cannot respond to legitimate traffic or responds so slowly that it becomes ineffective.

(c) Use the Service to transmit, distribute, or deliver any unsolicited bulk or unsolicited commercial e-mail or text messages (SMS or other mobile message) (i.e., spam), including in violation of the CAN-SPAM Act or the TCPA.

(d) Interfering with the proper functioning of any System, including any deliberate attempt to overload a System by mail bombing, news bombing, broadcast attacks, or flooding techniques.

(e) Operating network services like open proxies, open mail relays, or open recursive domain name servers.

(f) Using manual or electronic means to avoid any use limitations placed on a System, such as access and storage restrictions.

(g) Falsify any information or in any way misrepresent your identity.

4. OUR MONITORING AND ENFORCEMENT

4.1 We reserve the right, but do not assume the obligation, to investigate any violation of this Policy or misuse of the Service or Site.

4.2 We are not responsible for any user-created content on the Site.

4.3 You are responsible for protecting your computer and your network against interference, spyware or viruses that may be encountered for downloaded items from the Service.

4.4 We may report any activity that we suspect violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Our reporting may include disclosing appropriate customer information. We also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this Policy.

5. REPORTING OF VIOLATIONS OF THIS POLICY

5.1 If you become aware of any violation of this Policy, you will immediately notify us and provide us with assistance, as requested, to stop or remedy the violation.
